1. Acceptance of terms

By creating an account or using SOXLayer, you agree to these terms on behalf of yourself and, if applicable, the company you represent.

2. The service

SOXLayer is a workspace for planning, performing, reviewing and evidencing SOX and internal controls testing, including AI assisted evidence review. AI output is a suggestion; your organization is responsible for reviewing and accepting, editing or overriding it before relying on any conclusion.

3. Accounts and access

You are responsible for the accuracy of information you provide and for activity that happens under your account. Notify us promptly of any unauthorized use.

4. Free trial and subscriptions

A free trial gives access to the product for the trial period described at signup. Paid subscriptions are billed according to the plan you select. See pricing for current plan details, which are subject to change.

5. Acceptable use

You agree not to misuse the service, including attempting to bypass security controls, uploading unlawful content, or using the service to build a competing product.

6. Your data

You retain ownership of the data you put into SOXLayer, including controls, tests and evidence. You grant us the right to process it to provide the service. See our privacy policy for how we handle personal information.

7. Intellectual property

SOXLayer and its underlying technology are owned by us. Nothing in these terms transfers ownership of our intellectual property to you.

8. Disclaimers

The service is provided as is. SOXLayer does not provide legal, accounting or audit opinions, and use of the product does not by itself satisfy any regulatory requirement.

9. Limitation of liability

To the extent permitted by law, our liability arising from these terms or use of the service is limited as set out in your order form or, absent one, to the amount you paid us in the twelve months before the claim.

10. Termination

Either party may terminate as described in an applicable order form, or, absent one, with notice as required by law. You can export your data before or shortly after termination.

11. Changes to these terms

We may update these terms from time to time. We will update the date at the top of this page when we do.
